1. About Transcribe.so

Transcribe.so is a product of Sunmoon.co Pte. Ltd. (UEN: 202432099D), a company registered in Singapore at 20A Tanjong Pagar Road, Singapore 088443 ("Transcribe.so," "we," "us," "our"). We operate the website transcribe.so and related services (collectively, the "Service"). The Service provides AI‑powered transcription, analysis, and search capabilities for audio and video content, including YouTube videos.

By accessing or using the Service, you agree to be bound by these Terms of Service (the "Terms"). If you do not accept the Terms, do not use the Service.

2. Eligibility & Account

  • You must be at least 18 years old or have parental/guardian consent.
  • You must provide accurate, current information when creating an account.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

3. Service Description

The Service processes audio and video content to provide:

  • Speech‑to‑text transcription using AI models operated by Transcribe.so on infrastructure we operate
  • Timestamped utterances and speaker identification (diarization)
  • AI‑powered topic detection and chapter segmentation
  • Semantic embeddings for search capabilities
  • AI‑generated summaries, quotes, and takeaways
  • Question‑and‑answer functionality with citations
  • Entity extraction and speaker identification
  • Cloud storage for audio, text, and processed files

The Service also enables you to submit YouTube URLs for processing. When you do so, the Service uses yt‑dlp, a third‑party open‑source tool, routed through proxy infrastructure, to retrieve the audio track from the video you specify on your behalf. If you enable the optional YouTube Account Connection described in Section 5.6, the Service may use the connected account's session cookies when a video you request requires that account. Each retrieval is initiated by your instruction. Except for the automated technical processing needed to carry out that instruction, Transcribe.so does not independently access, select, curate, or endorse the content.

4. Credits, Billing & Payments

4.1 Subscription Plans & Monthly Credits. The Service offers optional monthly subscription plans (e.g., Basic, Plus, Pro). Each plan includes a pool of monthly transcription credits that reset at the start of each billing cycle. Monthly plan credits are use‑it‑or‑lose‑it and do not roll over to the next cycle.

4.2 Prepaid Wallet Credits. You may also purchase prepaid wallet credits ("wallet top‑ups"). Wallet credits do not expire and persist in your account until used. You may use the Service on a pay‑as‑you‑go basis with wallet credits only, without subscribing to a plan.

4.3 Credit Deduction Order. When you process content, we always deduct from your monthly plan credits first. Once your plan credits are exhausted, any remaining cost is deducted from your prepaid wallet credits.

4.4 No Postpaid Billing. The Service operates on a prepaid‑only model. You must have sufficient available credits (plan credits + wallet credits) before starting a transcription job. There are no surprise invoices or postpaid overage charges.

4.5 Pricing. Transcription pricing is charged per minute of processed audio/video and varies by AI model, workflow settings, and subscription tier. Subscription plans may include lower overage rates compared to pay‑as‑you‑go pricing. Current pricing details are displayed before you submit a job.

4.6 Credit Holds. When you submit content for processing, we estimate the cost and place a temporary hold on your credit balance. Upon completion, the final charge is calculated based on actual usage (rounded up to the nearest minute, with a minimum charge), and any excess hold is released.

4.7 Refunds. If you are not satisfied with a paid plan, request a refund from your Billing page (or email support) within 7 days of your first charge on that plan and we will refund that charge in full, as long as you have used less than 10 hours of transcription (counted by the length of the audio and video you transcribe) since that charge. This 10-hour limit applies to plans purchased after it was introduced, as shown at checkout. This plan guarantee can be used once per account and once per payment card: after one plan refund has been approved, later plans on the same account, or paid with the same card, are not covered. Refunds that meet these conditions are usually issued automatically, and the rest are reviewed by hand. Outside that window, subscription charges are non‑refundable, and cancelling stops future renewals without refunding the current period. Wallet top‑ups are non‑refundable once any of the credit has been used; an unused top‑up can be refunded on request within 7 days of purchase. If a processing job fails due to a Service error, the hold is automatically released and no charge is made.

4.8 Failed Jobs. You will not be charged for jobs that fail due to Service errors. You may be charged for jobs that fail due to invalid input, inaccessible URLs, or violations of third‑party terms of service.

4.9 Subscription Changes. You may upgrade or downgrade your subscription plan at any time. Plan changes take effect according to your billing cycle and Stripe's subscription management. Upon termination or downgrade, any remaining monthly plan credits for the current cycle are forfeited and are not converted to cash. Forfeiting those credits is separate from, and does not reduce, any refund of a charge you are eligible for under Section 4.7.

4.10 Pricing Changes. We reserve the right to change subscription plan pricing, included credit amounts, and per‑minute rates at any time. Existing wallet credits in your account will not be affected by price changes. Changes to subscription pricing take effect at the next billing cycle.

4.11 Payment Processing. Payments are processed through Stripe. You agree to Stripe's terms of service and privacy policies.

4.12 Taxes. You are responsible for all applicable taxes. Prices shown may not include applicable taxes.

5. Content & Acceptable Use

5.1 Your Content. When you submit URLs or upload content for processing, you represent and warrant that:

  • You own the content or have all necessary rights and permissions to process it
  • Processing the content does not violate any third‑party rights, including copyright, trademark, privacy, or publicity rights
  • The content does not contain illegal material

5.2 Third‑Party Content & YouTube Downloads. If you submit YouTube URLs or other third‑party content, you are responsible for ensuring that you are authorized to access and process that content. You must comply with applicable copyright and intellectual property laws, YouTube's Terms of Service, relevant channel or membership terms, and other applicable third‑party platform rules.

When you submit a YouTube URL, you instruct the Service to use yt‑dlp, routed through proxy infrastructure operated or contracted by Transcribe.so, to retrieve the audio track from that video. By submitting the URL, you represent and warrant that:

  • You are entitled to access the video and have any permission required to retrieve and process its audio for your requested purpose
  • Your requested use and processing comply with applicable copyright and intellectual property laws
  • Your requested use and processing comply with YouTube's Terms of Service and any applicable channel or membership terms
  • You understand that Transcribe.so acts as a technical intermediary carrying out your request and does not independently select, curate, or endorse the content

Section 5.6 also applies if you use the YouTube Account Connection. Nothing in this Section transfers to you responsibility for Transcribe.so's own independent conduct or excludes any liability that applicable law does not permit us to exclude.

5.3 Prohibited Content. You may not process content that:

  • Is illegal, defamatory, obscene, or sexually explicit
  • Infringes on intellectual property rights
  • Contains malware or malicious code
  • Violates any person's privacy or publicity rights
  • Contains hate speech or promotes violence

5.4 Licence to Transcribe.so. When you submit content for processing, you grant Transcribe.so a limited, non‑exclusive, worldwide licence to:

  • Download, store, and process the content
  • Use AI models and algorithms to generate transcripts, summaries, embeddings, and other outputs
  • Store processed files and outputs in encrypted cloud object storage (Cloudflare R2)
  • Display outputs to you through the Service interface

This licence terminates when you delete the content from your account, except for archival backups which may persist for up to 30 days.

5.5 Ownership of Outputs. You retain ownership of all transcripts, summaries, and other outputs generated from your content. We do not claim ownership of AI‑generated outputs derived from your content.

5.6 YouTube Account Connection.

(a) Optional feature and your instruction. A signed‑in user may optionally provide browser session cookies for a YouTube or Google account, referred to as "Account Cookies." The Service uses Account Cookies only when necessary to retrieve, on that user's instruction, a video that the connected account is permitted to watch, such as a members‑only, age‑restricted, or private video. The feature is not used for public videos or before you submit a processing request. Transcribe.so acts as a technical intermediary carrying out your instruction. Except for automated technical processing necessary to complete that instruction, Transcribe.so does not, on its own initiative, access, select, or curate content.

(b) Your representations and warranties. Each time you provide or use Account Cookies, you represent and warrant that:

  • The connected account belongs to you and you are authorized to use it
  • You have not provided Account Cookies or other credentials belonging to another person, even if that person purported to consent
  • Each requested video is available for that account to watch and you are authorized to retrieve and process it for the requested purpose
  • Your use of the feature complies with YouTube's Terms of Service, applicable channel and membership terms, copyright and intellectual property laws, and all other applicable laws and rules

Permission to watch a video does not by itself establish permission to download, copy, transcribe, or otherwise process it. You remain responsible for confirming that your requested processing is authorized.

(c) YouTube and Google account risks. You acknowledge that YouTube's terms restrict automated access and downloading except where authorized. Use of Account Cookies with automated tools may cause YouTube or Google to present verification or "not a bot" challenges, restrict the account, suspend or terminate it, invalidate its sessions, or require new credentials. Transcribe.so does not control those actions. To the maximum extent permitted by law, Transcribe.so is not responsible merely because YouTube or Google takes such an action, but this does not exclude liability arising from Transcribe.so's own breach, negligence, wilful misconduct, or any liability that cannot lawfully be excluded.

(d) Handling of Account Cookies. Account Cookies are encrypted at rest using AES‑256‑GCM with a per‑user authenticated binding, and encryption keys are held in a secrets manager. Stored values are accessible only to the restricted service role and are not displayed or returned to your browser. They are decrypted only transiently in memory‑backed temporary storage within the processing environment for the duration of a requested retrieval, after which the plaintext copy is deleted.

Account Cookies are used only for a video you request that requires the connected account. Requests for one connected account use one fixed network address assigned to that account. Account Cookies are transmitted to YouTube or Google only as necessary to perform the requested retrieval. We do not sell them, disclose them to other users, or permit a recipient to use them for its own purposes, except that YouTube or Google processes the cookies under its own terms and privacy policy.

You may replace or remove Account Cookies at any time. We delete the stored Account Cookies when you remove the connection, after 90 days without use, or when your Transcribe.so account is deleted. Any inaccessible encrypted backup copy expires under the backup schedule described in the Privacy Policy and is not used for retrieval.

(e) Availability and suspension. The feature is provided subject to Sections 13 and 14. We do not promise that a particular video can be retrieved, that the feature will work with a particular account, or that it will remain compatible with YouTube or Google. We may suspend a connection, delete Account Cookies, or modify or withdraw the feature where reasonably necessary to address misuse, security or legal risk, third‑party requirements, technical changes, or operational needs. We may act immediately where reasonably necessary and will otherwise provide reasonable notice when practicable.

(f) Indemnity. Section 15 applies to third‑party claims caused by your breach of this Section, including your unauthorized use of another person's account or infringement of third‑party rights. The indemnity remains subject to its consumer protections and other limits.

(g) Feature agreement record. Before the first connection, you must affirmatively accept the in‑product YouTube Account Connection agreement. We record the accepted version, acceptance time, account identifier, IP address, browser or user-agent information, and a cryptographic hash identifying the accepted text. We may require renewed acceptance when the feature terms or relevant risks materially change. The Privacy Policy describes how this record is used and retained.

6. AI‑Generated Content & Accuracy

6.1 No Accuracy Guarantees. While we use industry‑leading AI models, we make no guarantees regarding the accuracy, completeness, or quality of transcripts, summaries, or other AI‑generated outputs.

6.2 Your Responsibility to Review. You are solely responsible for reviewing and verifying all AI‑generated content before relying on it. Do not use outputs for critical purposes without independent verification.

6.3 AI Limitations. AI models may:

  • Misunderstand speech, especially with accents, background noise, or technical terminology
  • Generate hallucinations or incorrect information in summaries and Q&A responses
  • Fail to properly identify speakers or entities
  • Produce biased or inappropriate content

6.4 Speaker Identification. Speaker diarization and identification features are experimental and may produce inaccurate results. Do not rely on speaker identification for legal, compliance, or security purposes.

7. Data Storage & Access

7.1 Cloud Storage. Processed audio, text files, and metadata are stored in Cloudflare R2 encrypted cloud object storage. You acknowledge that your content is stored on third‑party storage infrastructure.

7.2 Forever Access. Subject to these Terms, you have ongoing access to your processed transcripts and files for as long as you maintain an account in good standing.

7.3 Account Deletion. If you delete your account or we terminate your access, your content and processed files will be deleted within 30 days, except as required by law or for legitimate business purposes.

7.4 Backups. We maintain backups for disaster recovery. Deleted content may persist in backups for up to 30 days.

8. Third‑Party Services & APIs

8.1 Third‑Party Dependencies. AI processing (transcription, speaker identification, chapters, summaries, embeddings, search, and question‑and‑answer) runs on AI models operated by Transcribe.so on infrastructure we operate; no third‑party AI provider receives your content (see our Privacy Policy, Section 5.1). The Service otherwise relies on third‑party APIs, infrastructure, and services, including but not limited to:

  • GPU and cloud server hosting providers (supply the hardware for the AI processing that Transcribe.so operates)
  • Cloudflare (R2 object storage)
  • yt‑dlp (open‑source media downloader, used to download YouTube audio at your direction)
  • Proxy infrastructure providers (used to route yt‑dlp requests, including YouTube Account Connection requests from the fixed network address assigned to the connected account)
  • YouTube (video platform)
  • Stripe (payment processing)
  • Backup text‑processing provider: a vetted cloud provider that is disabled by default and may be temporarily enabled only during a declared service incident, for transcript text and questions only, never audio files (see our Privacy Policy, Section 5.1)

8.2 Third‑Party Terms. When you instruct the Service to process content from a third‑party platform, you must comply with the terms and rules that apply to your use of that platform, including YouTube's Terms of Service and any applicable channel or membership terms. You acknowledge that retrieval using yt‑dlp and proxy infrastructure, including retrieval using Account Cookies under Section 5.6, is performed at your instruction. You are responsible for determining whether your requested access and processing are permitted. These responsibilities do not make you responsible for Transcribe.so's independent conduct or waive any non‑waivable rights or remedies.

8.3 Service Availability. The availability and functionality of the Service depends on third‑party services and on our self‑operated AI infrastructure. We are not responsible for outages, changes, or discontinuation of third‑party services.

9. Intellectual Property

9.1 Service IP. All Service software, algorithms (including proprietary NLP algorithms for topic detection), interface designs, and documentation are the intellectual property of Transcribe.so or its licensors and are protected by copyright, trademark, and other laws.

9.2 Restrictions. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works of the Service
  • Use automated tools to scrape or extract data from the Service
  • Remove or obscure any proprietary notices
  • Use the Service to build a competing product

9.3 Trademarks. "Transcribe.so" and associated logos are trademarks of Transcribe.so. You may not use our trademarks without prior written permission.

10. Feedback & Suggestions

If you provide feedback, suggestions, bug reports, or ideas to improve the Service, you grant Transcribe.so a worldwide, perpetual, irrevocable, royalty‑free licence to use, implement, and incorporate that feedback without any obligation or compensation to you.

11. Privacy & Data Processing

11.1 Privacy Policy. Our collection and use of personal information, including Account Cookies and records of your acceptance of feature-specific terms, are described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference as a description of our data practices. Where data protection law requires a separate consent or notice, acceptance of these Terms does not replace that requirement.

11.2 Analytics. We collect usage information—including IP addresses, device information, browser type, and usage patterns—to improve, secure, and personalize the Service.

11.3 AI Training. We do not use your content or processed outputs to train AI models unless you explicitly opt in to a data sharing program.

12. Service Availability & Support

12.1 Availability. We strive to maintain high availability but do not guarantee uninterrupted or error‑free service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

12.2 Processing Times. Processing times vary based on content length, processing options, and system load. We provide estimated completion times but do not guarantee specific processing speeds.

12.3 Support. We provide email support for account and billing issues. We do not guarantee response times or resolution of all issues.

12.4 Service Changes. We may modify, suspend, or discontinue any feature or functionality at any time with or without notice.

13. Disclaimers

13.1 "AS IS" BASIS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13.2 NO WARRANTIES. TRANSCRIBE.SO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF TRANSCRIPTS, SUMMARIES, OR OTHER OUTPUTS
  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE OPERATION
  • RESULTS OBTAINED FROM USING THE SERVICE
  • SECURITY OF DATA TRANSMISSION OR STORAGE

13.3 Third‑Party Services. WE DISCLAIM ALL LIABILITY FOR THIRD‑PARTY SERVICES, PLATFORMS, AND APIS.

14. Limitation of Liability

14.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIBE.SO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages arising from unauthorized access to or alteration of your content
  • Damages resulting from third‑party services or AI model outputs
  • Damages from service interruptions, errors, or data loss

14.2 Liability Cap. TRANSCRIBE.SO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

  • US $100, OR
  • The total amount you paid for credits in the 12 months preceding the claim

14.3 Essential Purpose. These limitations apply even if a remedy fails of its essential purpose and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to defend, indemnify, and hold harmless Transcribe.so, its officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising from or related to:

  • Your use of the Service, including your use of YouTube download functionality via yt‑dlp and proxy infrastructure
  • Your content or content you submit for processing
  • Your violation of these Terms
  • Your violation of any third‑party rights, including intellectual property, privacy, or publicity rights
  • Your violation of YouTube's Terms of Service or any other third‑party platform policies
  • Your violation of any laws or regulations

16. Account Termination & Suspension

16.1 Termination by You. You may terminate your account at any time through your account settings. Upon termination, any remaining monthly plan credits and wallet credits are forfeited and are not converted to cash, and any active subscription is cancelled. Forfeiting credits is separate from a refund of a charge: if you are eligible for one under Section 4.7, it is still paid to your original payment method.

16.2 Termination by Us. We may suspend or terminate your account immediately, with or without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your use harms the Service or other users
  • We are required to do so by law
  • We discontinue the Service

16.3 Effect of Termination. Upon termination:

  • Your access to the Service immediately ceases
  • All monthly plan credits and wallet credits are forfeited and are not converted to cash; a refund of a charge you are eligible for under Section 4.7 is unaffected
  • Any active subscription is cancelled
  • Your content and processed files will be deleted within 30 days
  • Sections 4.7, 5.2, 5.4, 6, 9, 10, 11, 13, 14, 15, and 18 survive termination

17. Governing Law & Dispute Resolution

17.1 Governing Law. These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

17.2 Jurisdiction. You agree to submit to the exclusive jurisdiction of the Singapore courts for any disputes arising from or related to these Terms or the Service.

17.3 Informal Resolution. Before filing a claim, you agree to contact us at support@transcribe.so to attempt to resolve the dispute informally.

18. Changes to These Terms

18.1 Right to Modify. We may revise these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Service with a new "Last Updated" date
  • Sending an email to the address associated with your account (if we have one)
  • Displaying a notice on the Service

18.2 Notice Period. For material changes that adversely affect your rights, we will provide at least 7 days' notice before the changes take effect.

18.3 Acceptance. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

18.4 Feature‑Specific Changes. Continued general use of the Service will not by itself constitute acceptance of a material change to the YouTube Account Connection terms. If such a change affects credential handling, account risk, user responsibilities, indemnity, or other material feature terms, we will require affirmative acceptance before further use of that feature.

19. General Provisions

19.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transcribe.so regarding the Service.

19.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 Waiver. Our failure to enforce any provision does not waive our right to enforce it later.

19.4 Assignment. You may not assign or transfer these Terms. We may assign these Terms to any affiliate or successor without restriction.

19.5 No Agency. Nothing in these Terms creates a partnership, joint venture, or agency relationship.

19.6 Force Majeure. We are not liable for any failure or delay due to circumstances beyond our reasonable control.
